Welcome to Looyal One. These Terms of Service ("Terms") govern your access to and use of the website, services, and modular applications operated by PT Tunas Kreasi Digital ("Looyal One", "we", "us", or "our").
By registering for an account, purchasing a private cloud deployment package, or accessing our services, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
1. License and Scope of Service
Looyal One provides a modular Business Operating System designed for deployment onto a dedicated private cloud infrastructure. Under these Terms:
- We grant you a non-exclusive, non-transferable, revocable license to deploy, configure, and run our software modules (CRM, POS, HRIS, etc.) within your designated private cloud environment.
- Since Looyal One operates on a dedicated cloud architecture, you are responsible for maintaining subscriptions and paying bills directly to your hosting infrastructure provider (e.g., AWS, GCP, Alibaba Cloud) unless you purchase fully-managed hosting services directly from us.
2. Account Security & Responsibilities
To use our software, you must create a corporate administrator account. You are solely responsible for:
- Maintaining the confidentiality of account passwords and private server SSH access keys.
- All activities, data entry, and transactions conducted under your corporate domain and employee sub-accounts.
- Promptly notifying us of any unauthorized use of your account or security breaches.
3. Acceptable Use Policy
You agree not to use the Looyal One system to:
- Engage in illegal activities under the laws of the Republic of Indonesia or the jurisdiction where your private servers are hosted.
- Transmit spam, malware, viruses, or any harmful electronic payloads.
- Reverse engineer, decompile, or attempt to extract the source code of our proprietary compilation tools and core licensing engines.
- Infringe upon the intellectual property rights of PT Tunas Kreasi Digital or third parties.
4. Fees, Payments, and Service Tiers
Some of our software modules or fully-managed cloud packages are subject to fees:
- All billing is governed by the specific Service Order Form signed between your organization and PT Tunas Kreasi Digital.
- Fees are billed in advance according to the selected billing cycle (monthly, annually, or multi-year terms).
- Failure to pay outstanding invoices within the specified grace period may result in the suspension of software updates and professional support channels.
5. Intellectual Property Rights
Looyal One, including all software modules, visual assets, compilation scripts, and layout designs, is the exclusive intellectual property of PT Tunas Kreasi Digital. All rights not expressly granted to you are reserved by us.
You retain full ownership, title, and intellectual property rights over all customer records, employee logs, documents, and transaction histories processed inside your private cloud database.
6. Termination
We or you may terminate your software subscription at any time by providing written notice in accordance with your Service Order Form. Upon termination:
- Your license to receive software updates and support terminates immediately.
- You are responsible for exporting all user data from your private cloud database prior to terminating hosting subscriptions.
7. Limitation of Liability
To the maximum extent permitted by law, PT Tunas Kreasi Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, resulting from your use of or inability to use the software, even if we have been advised of the possibility of such damages.
8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising out of or in connection with these Terms shall be resolved exclusively through arbitration at the Badan Arbitrase Nasional Indonesia (BANI) in Jakarta.
